Discussion
Pedernales Electric Cooperative, Inc. (PEC) needs to investigate options for a future control center for operations of its full system and also the potential upgrade of its facilities used for the control center for operations of the distribution network to address security requirements.
To address such requirements in a timely manner, PEC may need to enter into various contracts to develop more detailed plans for the design and construction of a new control center. As part of ongoing planning, CEO shall provide regular monthly updates to the Board on the components of the construction plan, and revisions to the plans when necessary.

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF PEDERNALES
ELECTRIC COOPERATIVE, INC. that the Cooperative authorizes the Chief Executive Officer, or designee, to investigate, negotiate, execute, and deliver such agreements as necessary for the construction of a control center for PEC’s transmission or distribution facilities within the limits of the Delegation of Authority as discussed in Executive Session; and
BE IT FURTHER RESOLVED BY THE BOARD OF DIRECTORS OF THE COOPERATIVE, that the Chief Executive Officer, or designee, is authorized to take such actions as needed to implement this resolution.
