Discussion
Requesting term extension of the Master Services Agreement (MSA) with Goff Services due to agreement expiration midway through the Headquarters (HQ) remodel project.
Goff Services is one of the preferred Heating, Ventilation and Air Conditioning suppliers for the cooperative that entered into a PEC MSA agreement on September 10, 2014. The contract terms were for a 3-year period and/or $3M spend value. This agreement expired on September 10, 2017 with a cumulative spend of $1.595M.
Goff Services was selected to perform work on the HQ remodel and the project is expected to run through March 2018 before final completion. This request is to extend the contract with Goff Service for an additional 9 months, not to exceed contract extension date of May 10, 2018, to complete the approved scope of work.
No additional dollars, nor extension of the scope of work will be authorized by this action, only the approval of an extension of time to complete the authorized HVAC work on the project.

BE IT FURTHER RESOLVED, by the Board of Directors of the Cooperative that the contract for Goff Services be amended to extend the contract for nine (9) additional months; and
BE IT RESOLVED BY THE BOARD OF DIRECTORS, that the Chief Executive Officer or his designee are authorized to take all such actions as needed to implement this resolution.
