Discussion
The Board may consider engagement of outside legal services and approval of expenditure of funds and reimbursable expenses necessary for use in CEO search, recruitment, and employment.
Body
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE COOPERATIVE ("Board"), that the Board engage outside legal counsel for services related to CEO search, recruitment, and employment; and
BE IT FURTHER RESOLVED that the Board authorizes use of funds for necessary, eligible and reimbursable expenses or costs associated with CEO search, recruitment, and employment; and
BE IT FURTHER RESOLVED that the Board President and General Counsel are authorized to take all such actions as needed to implement this resolution.
