Discussion
As part of the 2024 Capital Improvement Plan, approved by the Board in November 2023 (2023-333), Pedernales Electric Cooperative, Inc. (PEC or Cooperative) included a project for overhaul of the T318 Blanco-Devils Hill transmission line. This project improves system reliability.
In August 2025, the Cooperative previously approved execution of an agreement for overhaul of the T318 Blanco-Devils Hill transmission line project. Given new information obtained by PEC since August 2025, PEC recommends selection of a different contractor and execution of a construction contract with the new contractor to complete the work required.

BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE COOPERATIVE that the Cooperative is authorized to execute a construction contract to complete the work required for the overhaul of T318 Blanco-Devils Hill transmission line with the newly selected contractor on the terms and at the cost consistent with the discussion in the confidential term sheet and Executive Session; and
BE IT FURTHER RESOLVED that the Chief Operations Officer - Transmission or designee is authorized to take all such actions as needed to implement this resolution.
