Discussion
On October 24, 2025 (2025-289), the Board of Pedernales Electric Cooperative, Inc. (“PEC” or “Cooperative ”) designated Survey & Ballot Systems ("SBS") as the election service provider for three years which began with the 2026 election through 2028.
The Bylaws provide that “[t]he Cooperative shall designate an independent election service provider to conduct services as specified in [the] Bylaws or otherwise determined by the Board of Directors (the "Election Service Provider")”.
The Board's Election Policy and Procedures at Section 4.1 provides that "…the General Counsel will recommend to the Board whether to extend the contract for the services of the Election Service Provider then retained by the Cooperative under the Bylaws and the Board will make a determination whether to extend the contract or seek an alternate Election Service Provider. Any such extension may be implemented without competitive procurement, notwithstanding any PEC policy or procedure."

BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE COOPERATIVE that the Board confirms its designation of Survey & Ballot Systems as Election Service Provider on behalf of the Cooperative for the 2027 election and authorizes its Chief Executive Officer, or designee, to execute a one-year renewal on behalf of the Cooperative with the Election Service as discussed in Executive Session and in the confidential term sheet; and
BE IT FURTHER RESOLVED that the Chief Executive Officer, or their designee, is authorized to take any actions necessary to implement this resolution.
