Discussion
On November 21, 2025, pursuant to Article IV, Section 1 of the Pedernales Electric Cooperative, Inc. (PEC or Cooperative) Bylaws, the PEC Board of Directors approved a resolution establishing the dates and location for the Regular Board Meetings (as defined in the PEC Bylaws) to be held in 2026.
Under that same authority, the PEC Board of Directors now considers rescheduling the January 2026 Regular Board Meeting from January 16 to January 23.

BE IT RESOLVED BY BOARD OF DIRECTORS OF THE COOPERATIVE that the 2026 Regular Board Meeting of the PEC Board of Directors for the month of January be rescheduled to Friday, January 23, 2026; and
BE IT FURTHER RESOLVED that the Chief Executive Officer and General Counsel, or designee, is authorized to take such actions as needed to implement this resolution.
