Financial Impact and Cost/Benefit Considerations: Expenditure of Cooperative funds as included in the Cooperative's 2021 Operating budget and future Operating budgets for four years; no staff time is anticipated other than ordinary processing requirements.
Discussion
This request is to renew and extend PEC’s NISC iVUE software maintenance, AMS (Automated Mail Services), and Merchant Services contracts for five (5) years. This extension is $3,500,000.00 annually totaling $17,500,000.00 for the five year agreement. The software maintenance includes support for all the iVUE components (ABS, CC&B, SmartHub, Call Capture, SmartTrack, MDM, AppSuite).
The AMS portion includes mail and postage cost for bills and any correspondence that is handled by NISC. The current NISC maintenance contract agreement is an evergreen contract without an expiration.

BE IT RESOLVED BY THE BOARD OF DIRECTORS that the Board approves a five (5) year extension to the NISC iVUE software maintenance, AMS, and Merchant Services agreements; and
BE IT FURTHER RESOLVED that the Chief Executive Officer, or designee, is authorized to take all such action as may be necessary to implement this resolution.
